TERMS OF SERVICE

1. AGREEMENT TO TERMS
By accessing or using the saas operated by CloudSync Inc. ("we", "us", or "our") at https://www.cloudsync.io, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our saas.
2. USE OF SERVICE
You may use our saas only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the service in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the service
- Interfere with or disrupt the service or its infrastructure
- Use automated means to access the service without our permission
- Impersonate any person or entity
3. USER ACCOUNTS
When you create an account, you must provide accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.
4. PAYMENTS AND BILLING
If you purchase any paid features or subscriptions:
- You agree to pay all fees associated with your selected plan
- Fees are non-refundable except as required by law or as stated in our refund policy
- We may change pricing with reasonable notice
- You authorize us to charge your payment method on a recurring basis if applicable
- All prices are exclusive of applicable taxes unless stated otherwise
Failure to pay may result in suspension or termination of your access to paid features.
5. INTELLECTUAL PROPERTY
The service, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, software, and code), is owned by CloudSync Inc. and is protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our proprietary content without our express written permission.
6. TERMINATION
We may terminate or suspend your access to the service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
Upon termination:
- Your right to use the service ceases immediately
- We may delete your account and associated data
- Provisions that by their nature should survive termination shall survive
You may terminate your account at any time by contacting us at legal@cloudsync.io.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law:
- The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
- CloudSync Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim
- We do not warrant that the service will be uninterrupted, error-free, or secure
8. DISPUTE RESOLUTION
Any disputes arising from or relating to these Terms or the service shall be governed by the laws of United States.
- The parties agree to first attempt to resolve any dispute informally by contacting legal@cloudsync.io
- If the dispute cannot be resolved informally within 30 days, it shall be resolved through binding arbitration in United States
- You agree to waive any right to participate in a class-action lawsuit or class-wide arbitration
9. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of United States, without regard to its conflict of law provisions.
